This page is a reference copy of the agreement presented at installation. The version you accept at installation (or in-app) is the version that governs your use of the software.
Part A — End-User License Agreement
A1. License grant
Subject to your active plan and payment, ModuWell grants you a non-exclusive, non-transferable license to install and use ModuWell on Windows for your own use. Annual, monthly and Academic are single-seat licenses; Your plan allows one active machine at a time — deactivate a machine before activating another.
A2. Restrictions
- No reverse engineering, decompiling, or disassembly except where that restriction is prohibited by law.
- No reselling, sublicensing, renting, or sharing your license or credentials.
- No circumventing license validation, machine activation, AI metering, or rate limits.
- No removing proprietary notices.
A3. Your data & third-party components
Your project data is yours and stays local-first.
ModuWell is built on the work of many open-source projects, and ModuWell LLC gratefully acknowledges their authors and contributors. The application includes third-party open-source components — among them the Qt framework (via PySide6), the scientific Python stack (NumPy, SciPy, pandas, matplotlib), geospatial libraries (GDAL, GEOS, PROJ, rasterio, shapely, Leaflet), VTK and PyVista for 3-D visualization, and many others — each used under its own license. The complete list, with full license texts, is installed with the application as THIRD_PARTY_NOTICES.txt and the "licenses" folder.
Components licensed under the GNU LGPL are dynamically linked as separate, replaceable library files; their license texts and a written offer for their source code are included in the "licenses" folder. Nothing in this agreement limits any rights those licenses grant you in the components themselves.
A4. Updates
We may provide updates; the desktop app may notify you when a new version is available, and may download and install updates for you. Updates are provided under this EULA unless accompanied by separate terms. If a future version of this agreement differs from the one you accepted, ModuWell will present the new version for your acceptance before you continue using the software.
A5. Term & termination
This license is effective until terminated. It ends automatically if you breach it, and on expiry/cancellation for subscription plans. On termination you must stop using and remove the Software. Your local project files remain yours.
A6. Warranty disclaimer & limitation of liability
The Software is provided "AS IS" and "AS AVAILABLE", without warranty of any kind, express or implied, including without limitation any warranties of merchantability, fitness for a particular purpose, or non-infringement. ModuWell does not warrant that the Software will be uninterrupted or error-free. Subsurface interpretations, calculations, and AI-generated output are aids to professional judgment, not a substitute for it; you are responsible for verifying results before relying on them.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MODUWELL LLC WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA, ARISING FROM OR RELATED TO THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. MODUWELL LLC'S TOTAL AGGREGATE LIABILITY UNDER THIS AGREEMENT IS LIMITED TO THE AMOUNTS YOU PAID FOR THE SOFTWARE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE.
Use of ModuWell's online services (license validation, collaboration, AI features) is additionally governed by the Terms of Service.
Part B — Refund Policy
B1. Subscriptions (Annual, Monthly, Academic)
A full refund within 7 days and non-refundable thereafter; you may cancel to stop future renewals, and access to all updates continues until the end of the paid term.
B2. AI wallet credits
Wallet top-ups are consumed per AI agent run, billed at ModuWell's own rates, which include a service margin over the underlying AI provider cost. Consumed and unconsumed wallet tokens are not refundable.
B3. How to request a refund
Email andrew@subsurfacemodels.com from your account email with your order details. Refunds via Stripe.
