1. Acceptance
By accessing or using ModuWell ("the Software") and this website, you agree to these Terms of Service and to our Privacy Policy and EULA & Refund Policy. If you do not agree, do not use the Software.
2. Licenses & editions
- Annual / Monthly — a single-seat subscription; every shipping module included. The billing interval, and the price for it, are shown at checkout.
- Academic — a monthly subscription for verifiable research use, cancellable anytime; we may request reasonable proof of eligibility.
Licenses are for your own use, are non-transferable except as expressly permitted, and allow one active machine at a time unless stated otherwise. The EULA governs installation and use of the Software itself.
3. Accounts
In the first launch of the software, you will use your Login email and Login password. It is a good idea to write it down.
4. Payment, renewal & price changes
Payments are processed by Stripe. Annual, Monthly and Academic are recurring subscriptions that renew automatically until cancelled; Pricing and terms are likely to change; See Refund Policy.
5. AI agents & wallet
The built-in AI agents are metered against a prepaid wallet balance through a secure server-side proxy. AI output is assistive and probabilistic: you are responsible for reviewing results before committing them to your project. Wallet terms and the treatment of consumed credits are described in the Refund Policy.
6. Acceptable use
- Do not reverse engineer, resell, or sublicense the Software except as permitted by the EULA or applicable law.
- Do not attempt to circumvent licensing, metering, or rate limits, or to disrupt the service.
- Do not use the service for unlawful purposes or to infringe others' rights.
7. Collaboration content
Collaboration is opt-in. When you share a prospect, you are responsible for ensuring you have the right to share that data and for what you exchange with collaborators. You retain ownership of your data.
8. Intellectual property
ModuWell and its content are owned by ModuWell, LLC and protected by applicable law. Your project data remains yours.
9. Disclaimers
THE SOFTWARE AND SERVICE ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ModuWell, LLC WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS OR DATA.
11. Termination
You may stop using the Software at any time. We may suspend or terminate access for breach of these terms or non-payment. Provisions that by their nature survive termination will survive.
12. Changes
We may update these terms; material changes are reflected by a new effective date. Continued use after an update constitutes acceptance.
